Terms of Use (EULA)

These Terms of Use ("Terms") act as the End User License Agreement for the GoldenRatio application and govern your use of the service operated by Golden Ratio United LLC. By accessing or using GoldenRatio, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not use our services.

1. Acceptance of Terms

By downloading, installing, or using the GoldenRatio app, or by accessing our website, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Definitions

"App" refers to the GoldenRatio mobile application. "Service" refers to the features, functions, and capabilities provided through the App. "Subscription" refers to the paid service plan that provides access to the App's features. "User" refers to any individual who downloads, installs, accesses, or uses the App.

3. Service Description

GoldenRatio is a personal finance management application that allows users to track expenses, visualize spending patterns, and manage budgets. The App is offered on a subscription basis. We do not connect directly to your bank accounts; instead, all data is manually entered by you.

4. Data Processing & Hosting

Our services run on Google Cloud / Firebase infrastructure with primary hosting in Frankfurt, Germany (region europe-west3). Payment events are processed through third parties (RevenueCat, Stripe, Apple, Google) that may process data in the United States. Details on processors, transfers, and your GDPR rights are described in our Privacy Policy.

5. User Accounts

To use certain features of the Service, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information when creating an account and keep this information updated. We reserve the right to suspend or terminate accounts that contain false or outdated information.

6. User Obligations

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not: - Use the Service in any way that violates applicable laws or regulations - Attempt to gain unauthorized access to the Service or its related systems - Transmit any viruses, malware, or other harmful code - Interfere with or disrupt the integrity or performance of the Service - Create multiple accounts for abusive or fraudulent purposes - Use the Service to store or transmit unlawful material

7. Intellectual Property

The App, including all content, features, and functionality, is owned by Golden Ratio United LLC and is protected by US and international copyright, trademark, patent, trade secret, and other intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, domain names, or other brand features.

8. Subscription, Pricing & Payment

GoldenRatio is offered on a subscription basis. The Basic plan price in Austria is at least €4.99 per month (base model); prices for other regions or tiers may vary due to taxes, currency, or platform fees. Fees are billed in advance. App Store purchases are billed by Apple (Apple ID) and Google (Google Play). Web checkout is billed by Golden Ratio United LLC via Stripe. Subscriptions auto-renew unless auto-renewal is turned off at least 24 hours before the end of the current period. You can manage renewal settings in your account.

9. EU Right of Withdrawal for Digital Content

For digital subscriptions, you request immediate performance at purchase. You acknowledge that the statutory 14-day withdrawal right for EU consumers ends once access to the subscription begins. There are no refunds after the subscription has started, except where mandatory law requires otherwise.

10. VAT and Merchant of Record

For purchases through the Apple App Store or Google Play Store, Apple or Google acts as the seller/merchant of record and is responsible for invoicing and applicable VAT/sales tax. For web checkout, Golden Ratio United LLC is the seller, and Stripe acts as payment processor; VAT or other indirect taxes are applied according to your billing country and applicable law.

11. Cancellation and Termination

You may cancel your subscription at any time through your device's app store account settings. There are no refunds for partial subscription periods. We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

12. Limitation of Liability

To the maximum extent permitted by law, in no event shall Golden Ratio United LLC, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

13. Data Backups and Data Loss

You are responsible for maintaining your own backups of data entered into the Service. We operate best-effort backups (daily backups retained for 7 days; weekly backups retained for up to 90 days) but do not guarantee restoration. To the extent permitted by law, we are not liable for loss, corruption, or destruction of data.

14. Price Changes

We may adjust subscription prices or plan structures. For recurring subscriptions, we will provide notice (e.g., in-app, email, or via the relevant app store) before changes take effect. Continued use after the effective date constitutes acceptance of the new pricing; you may cancel before the change to avoid charges at the new rate.

15. Platform Requirements and Supported Systems

The Service is supported on current versions of Android, iOS, and modern web browsers with a stable internet connection. Functionality on rooted/jailbroken devices, outdated operating systems, or unofficial browsers is not guaranteed and does not constitute a defect. Access may be limited during maintenance or platform-specific outages.

16. Warranty Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. Golden Ratio United LLC does not warrant that the Service will function uninterrupted, secure, or available at any particular time or location, or that any errors or defects will be corrected.

17. Dispute Resolution

In the event of any dispute arising out of or in connection with these Terms, both parties agree to first attempt to resolve the dispute informally. If a dispute cannot be resolved informally, the dispute shall be referred to and finally resolved by the competent courts of Florida, USA.

18. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

19. Governing Law and Consumer Protection

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict of law provisions. Mandatory consumer protection rights of your country of residence remain unaffected. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

20. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
